Agreement to Terms

These Terms of Use constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and SystemicLogic Group (trading as “Comply”, “we”, “us”, or “our”), regarding your access to and use of the Comply platform (including our web application, mobile interfaces, dashboards, APIs, and related services) (collectively, the “Platform”).

By accessing or using Comply, you acknowledge that you have read, understood, and agree to be bound by these Terms of Use. IF YOU DO NOT AGREE, YOU MAY NOT USE COMPLY.

We may update these Terms at any time. Changes will be reflected by the “Last Updated” date, and continued use of Comply after revisions means you accept them. It is your responsibility to check these Terms periodically.

Intellectual Property Rights

Unless otherwise indicated, all code, databases, designs, features, reports, AI models, charts, and graphics within Comply are proprietary to us or licensed to us. You are granted a limited license to use the Platform for your organization’s internal ESG compliance and reporting purposes only. Any other use, including resale, redistribution, or competitive exploitation, is prohibited without prior written consent.

User Responsibilities

• You must provide accurate and lawful ESG data.
• You are responsible for maintaining the confidentiality of account credentials.
• You may not use Comply for fraudulent or misleading ESG reporting.
• You must comply with all applicable local and international laws.

Prohibited Activities

• Attempting to hack, reverse-engineer, or disrupt the Platform.
• Uploading malicious files, false data, or unauthorized confidential information.
• Using the Platform to compete with us or create derivative tools.
• Engaging in automated scraping, mining, or unauthorized data extraction.

Disclaimer

Comply is provided on an “as-is” and “as-available” basis. While we apply advanced AI, automation, and analytics, we make no guarantees regarding absolute accuracy, completeness, or fitness for a particular purpose. Comply does not guarantee regulatory approval or compliance outcomes — responsibility lies with you and your organization.

Limitation of Liability

To the maximum extent permitted by law, we shall not be liable for indirect, incidental, or consequential damages including reputational harm, business interruption, regulatory penalties, or loss of ESG data resulting from use of the Platform.

Termination

We reserve the right to suspend or terminate your account if you breach these Terms, misuse the Platform, or act in a way that could harm our systems, reputation, or other users. Upon termination, your access will be revoked and we may take appropriate legal action.

Governing Law

These Terms are governed by the laws of South Africa. Any disputes will be handled by the competent courts of Johannesburg, unless otherwise required by applicable law.
